The Director of Payroll is a strategic, execution focused leader responsible for overseeing all payroll operations across a complex, fast-growing organization. This role requires demonstrated experience supporting mergers and acquisitions, guiding payroll readiness for taking a company public, and operating with a high sense of urgency and professionalism in time sensitive, high-visibility environments. The ideal candidate combines deep technical payroll expertise with strong leadership, sound judgment, and the ability to scale processes through transformational change.

Key Responsibilities:
  • Payroll Leadership & Operations Lead end to end payroll operations ensuring accurate, timely, and compliant payroll processing across multistate and/or global populations.
  • Establish and maintain strong payroll controls, documentation, and audit readiness in alignment with public company standards.
  • Ensure compliance with all federal, state, local, and international payroll tax and wage regulations.
  • Mergers & Acquisitions Integration Partner with Finance, HR, Legal, and external advisors to support payroll due diligence for acquisitions and divestitures.
  • Lead payroll integration efforts post merger, including system conversions, harmonization of pay practices, benefits deductions, and tax compliance.
  • Identify payroll related risks and develop mitigation plans to ensure continuity and compliance during rapid organizational change.
  • IPO & Public Company Readiness Prepare payroll processes, controls, and reporting for IPO readiness, including SOX compliance, internal controls, and audit requirements.
  • Support external audits and public company reporting requirements by ensuring payroll data accuracy and timely documentation.
  • Collaborate with Finance to align payroll practices with public company governance and transparency expectations.
Execution & Professionalism: 
  • Operate with a strong sense of urgency, balancing speed and accuracy in high pressure, deadline driven environments.
  • Anticipate payroll issues before they arise and take proactive, solutions-oriented action.
  • Manage sensitive and confidential information with the highest level of professionalism, discretion, and integrity.
Team Leadership & Continuous Improvement: 
  • Build, mentor, and develop a high performing payroll team capable of supporting organizational growth and complexity.
  • Drive continuous improvement through process automation, system optimization, and vendor management.
  • Establish scalable payroll practices that support rapid growth, acquisitions, and global expansion.

Qualifications:
  • Extensive payroll leadership experience, including managing payroll for complex, multi-entity organizations.
  • Proven experience supporting mergers and acquisitions, including payroll due diligence and integration.
  • Direct involvement in IPO preparation or public company payroll operations, including SOX or audit environments.
  • Deep knowledge of payroll systems, tax regulations, internal controls, and compliance requirements.
  • Exceptional organizational skills, attention to detail, and ability to execute under tight timelines.
  • Strong executive presence with the ability to communicate effectively with senior leadership and cross functional partners.
